1. What is covered by the Terms of Service

Current Terms of Service define the rights, obligations, and conditions applicable to your use of the Website Platform, available at www.paysaxas.com (the “Website”). Use of our site includes (but is not limited to) accessing, browsing, or registering to use our site (where applicable).

2. Legal Information and contact details 

Paysaxas Ltd is a company duly incorporated and validly existing under the laws of Cyprus, registered with the Registrar of Companies under registration number 612989, having its registered office at Stasinou 23, 1st floor, flat/office 101, Egkomi, 2404, Nicosia, Cyprus, which owns and operates the current Website.

  • a brief description of the purpose of your inquiry; and
  • your contact details, including your full name, email address, telephone number, and postal address.

We will make every effort to respond to you within 21 days of receipt.

3. PaySaxas Affiliates

“PaySaxas Affiliates” refers to companies that are duly incorporated and authorised to provide regulated payment, electronic money, or virtual/crypto asset services in their respective jurisdictions. These include, without limitation:

  • PaySaxas Oy (Finland) – registered at Erottajankatu 1-3 A 1, Helsinki, 00130, Finland, and authorised as an Electronic Money Institution by the Finnish Financial Supervisory Authority (FIN-FSA) under registration number 33874548.
  • UAB PaySaxas (Lithuania) – registered at A. Goštauto g. 8-345, LT-01108, Vilnius, Lithuania, and duly registered as a Virtual Asset Service Provider under registration number 305956247 with the Lithuanian Register of Legal Entities.
  • PaySaxas Financial Solutions Corporation (Canada) – registered at 422 Richards Street, Unit 170, Vancouver, BC, Canada, and authorised as a Money Services Business (MSB) with FINTRAC under registration number M23680092, valid until 28 February 2026.

Other affiliated entities may be established from time to time in additional jurisdictions and will be disclosed accordingly.

When receiving services directly from a PaySaxas Affiliate, you acknowledge and agree that such services are governed by the specific Terms of Service, Privacy Policy and other policies, and regulatory requirements applicable to that entity, in addition to the current Website Terms of Service. 

These Terms do not govern your use of payment, e-money or crypto services, which are covered by the affiliate’s client agreement.

4. Acceptance

These Terms of Service govern your access to and use of the Website. By using the Website, you confirm that you accept these Terms of Service and agree to comply with them.
If you do not agree to these Terms of Service, you shall not use the Website.
We recommend that you print or save a copy of these Terms of Service for future reference.

The services are provided on an “as is” and “as available” basis to the maximum extent permitted under applicable law, PaySaxas Ltd disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or arising from course of dealing, usage, or trade practices. PaySaxas Ltd makes no warranty regarding the operation or availability of the services, or that the services will be uninterrupted, error-free, or free from viruses or other harmful components. Paysaxas Ltd also makes no warranty with respect to any third-party software, websites, or services used in connection with the services.

11. Damages Waiver

To the maximum extent permitted under applicable law, in no event shall Paysaxas Ltd, its affiliates, or their respective directors, officers, employees, or representatives be liable for any indirect, incidental, consequential, special, exemplary, punitive, or cover damages, or for any loss of profits, revenue, business, goodwill, data, or business interruption, arising out of or in connection with these terms or the services, whether based on contract, tort, negligence, strict liability, or any other theory, even if advised of the possibility of such damages or if any remedy fails of its essential purpose.

12. Limitation of Liability

To the maximum extent permitted under applicable law, PaySaxas Ltd’s total cumulative liability for all claims arising out of or relating to these Terms of Service or the Website, whether in contract, tort (including negligence), strict liability, or otherwise, shall in no event exceed one hundred euros (EUR 100) in aggregate. As the Website is provided on a free-of-charge basis, no fees are paid by you that could otherwise be relied upon as a reference point for assessing or determining any liability of PaySaxas Ltd.

13. Dispute Resolution and Arbitration

To the maximum extent permitted under applicable law, any dispute, controversy, or claim arising out of or relating to these Terms of Service or your access to or use of the Services (each, a “Dispute”) shall be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be London, England, the language of arbitration shall be English, and the number of arbitrators shall be one (1), unless the LCIA determines that three (3) arbitrators are appropriate in view of the complexity of the case.
Notwithstanding the foregoing:
(a) either party may bring a qualifying claim in small claims court, provided that the matter remains within that court’s jurisdiction; and
(b) either party may seek injunctive or other equitable relief before the courts of England and Wales to protect or enforce its intellectual property rights (including, without limitation, trademarks, copyrights, patents, trade secrets, and domain names).
For the purposes of this Section, “Dispute” includes claims arising before the effectiveness of these Terms of Service as well as those arising after their termination.

14. Governing Law and Jurisdiction

These Terms of Service, their subject matter, and their formation shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction solely for (i) enforcement of any arbitral award rendered under Section 13, and (ii) any claims expressly carved out in Section 13 (small claims and intellectual property matters).

15. Intellectual Property Rights

You may use the Services and this Website solely in accordance with these Terms of Service and only to the extent necessary for your authorised use of the Services.

All intellectual property rights of any kind, whether registered or unregistered, including but not limited to rights in and to the Website itself, its structure, design, layout, “look and feel,” software, source code, APIs, developer tools, data, databases, compilations, business methods, designs, logos, trademarks, service marks, trade names, domain names, trade dress, audiovisual elements, graphics, photographs, images, articles, text, and all other materials, content, and documentation made available through the Services or published on the Website (collectively, the “Intellectual Property”), are and shall remain the exclusive property of PaySaxas Ltd or, where applicable, the respective third-party rights holders. All such rights are fully reserved.

The trademark “PAYSAXAS” is a registered trademark of PaySaxas Ltd. You are not permitted to use it without our prior written consent, unless such use forms part of material you are lawfully using as permitted under these Terms of Service.

Except as expressly permitted by these Terms of Service, you shall not, and shall not permit or enable others to, directly or indirectly: 

  • use, copy, reproduce, adapt, modify, translate, or create derivative works of the Intellectual Property;
  • reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code, algorithms, or underlying structure of the Services or Website;
  • reproduce, republish, display, distribute, transmit, assign, sublicense, or sell the Services, the Website, or any part thereof, in any form or by any means.

Any unauthorised use of the Intellectual Property, including the Website, its content, or the PAYSAXAS trademark, may constitute a violation of applicable intellectual property and unfair competition laws, as well as these Terms of Service, and may result in immediate termination of your access to the Services, without prejudice to any other rights or remedies available to PaySaxas Ltd.

You hereby consent to receive all disclosures, communications, and notices from PaySaxas Ltd and Paysaxas Affiliates in electronic form, including but not limited to those required by applicable law.Any notice, claim, demand, or formal communication that you are required or wish to deliver to us under these Terms of Service shall be sent by email to: legal@paysaxas.com.
